By-Laws
ARTICLE I
MEMBERSHIP
SECTION 1. CLASSIFICATION OF MEMBERS
Members of the Association shall be designated as professional members and student members.
SECTION 2. PROFESSIONAL MEMBERS
Membership in the Association is open to any individual who wishes to subscribe to the purposes for which this Association is formed.
SECTION 3. STUDENT MEMBERS
Students attending any university, college, or community college may join the Association as student members and shall enjoy all the rights and privileges of regular membership, except the right to vote.
SECTION 4. MEMBERSHIP DUES
Individuals may join the association by payment of an annual membership fee set by the Executive Council of the Association. There shall be two categories of membership – student and professional. The term of membership shall run from January to January of each year. Members joining mid-year (e.g. June 1) will be allowed to apply a portion of the initial dues payment toward membership renewal of the subsequent year.

SECTION 1.
The number of officers shall be 11 (eleven).
The officers of the Association shall be a President, Vice President for Academic Affairs, Vice President for Industry Affairs, Vice President for Student Affairs, and a Secretary/Treasurer and Committee chairs:
1. Business Development Chair
2. Conference Chair
3. Membership Chair
4. Awards Chair
5. SMQ Chair
6. Information/Web Site Chair who shall serve as the Executive Council of the Association without liability and bond.
SECTION 2. QUALIFICATIONS
Officers must be professional members of the Association.
SECTION 3. ELECTION AND TENURE
The President shall serve without liability for a term of 3 (three) years and will be eligible for re-appointment. The election of the President shall be by majority vote of the professional and voting members. The President shall commence the term of office on the first day of the month following the date of the annual meeting.
The President will appoint a Vice-President for Academic Affairs, a Vice-President for Industry Affairs, Vice-President for Student Affairs and a Secretary/Treasurer from the elected members of the Executive Council.
Committee Chairs will serve without liability for a term of 1 year and will be eligible for re-appointment. The Committee Chairs will be appointed by the Executive Council.
SECTION 4. NOMINATIONS
Candidates for all Association Executive Council positions shall be nominated by a member in good standing for submission to the membership at the Annual Meeting. They shall be elected by majority vote of the professional and voting members of the Association.
SECTION 5. VACANCIES
If any of the offices mentioned in section 1 of article II become vacant, the President shall, within a reasonable time thereafter, appoint a successor who shall hold office for the un-expired term of that office, subject to confirmation by the Executive Council.
SECTION 6. REMOVAL
Any Officer of the Association is subject to removal by the Executive Council, with or without cause, by a two-thirds vote of the Executive Council at a special meeting called for that purpose.
SECTION 7. REMUNERATION
The Officers and Executive Council of the Association shall serve without salary or other pecuniary remuneration for their services as such.

ARTICLE III
ANNUAL MEETINGS
SECTION 1. LOCATION AND FREQUENCY
The Annual General Meeting (AGM) of the regular membership of the Association to be held at the Annual Conference.
SECTION 2. SPECIAL MEETINGS
Special meetings of the membership may be called at any time upon written request to the Secretary-Treasurer by a majority of the voting membership.
SECTION 3. QUORUM
Members attending a regularly called Annual General Meeting shall constitute a quorum.
SECTION 4. NOTICE OF MEETINGS
Notice of all meetings shall be given to members at least 30 (thirty) days before such meetings. Regular meetings scheduled as part of the Annual Conference may be announced by inclusion in the conference information.
SECTION 5. PROXY VOTES
Proxy votes in writing and submitted to the Executive Council in advance of scheduled meeting will be permitted.

ARTICLE IV
EXECUTIVE COUNCIL MEETINGS
SECTION 1. LOCATION AND FREQUENCY
The Executive Council shall meet at least once a year and that meeting shall generally be held in conjunction with the Annual Conference.
SECTION 2. NOTICE OF MEETING
The meeting will be called by the President and notice of the meeting shall be given to the Executive Council by mail at least one month prior to the annual conference.
SECTION 3. QUORUM
One-third of the Executive Council shall constitute a quorum.
SECTION 4. PROXY VOTES
Proxy votes in writing and submitted to the Executive Council in advance of scheduled meeting will be permitted.

ARTICLE V
OFFICES
SECTION 1. THE BUSINESS OFFICE
The principal office for the transaction of the business of the Association will be the University of Memphis Bureau of Sport & Leisure Commerce.
The Executive Council of this Association is hereby granted full power and authority to change the location of the principal office.

ARTICLE VI
MISCELLANEOUS
SECTION 1. AUDIT
Upon election of a new Secretary-Treasurer, the accounts of the Association shall be submitted to audit.
SECTION 3. JOURNAL
The preferred journal of the Association is the Sport Marketing Quarterly. Membership in the Association includes a subscription to the Quarterly.

SPORT MARKETING ASSOCIATION
Executive Council SMA Operating Code
I. Name
The name of this organization shall be the Executive Council of the Sport Marketing Association (SMA).
II. Membership
A. Shall be composed of the President, Vice President of Academic Affairs, Vice President of Industry Affairs, Vice President of Student Affairs, Secretary/Treasurer, and six Committee Chairs of the association
B. Shall have as Chair, the President of the Association.
C. Shall base all decisions on the Association’s By-Laws and with the jurisdictional law of the state or province in which the association may be incorporated.
III. General Duties
A. Primary Responsibilities:
1. Initiate and transact all business of the Association except for those functions specifically elegated to the structures as indicated in the By-Laws.
2. Manage all interim business of the Association.
3. Meet annually prior to, or during, the Annual Conference and prior to the Conference Annual General Meeting (AGM).
4. Convene for special meetings, either in person or by conference call, called by the President or by any five members of the Executive Council, with at least two weeks written notice to each member of the Council.
5. Fill the unexpired term of any vacancy that may occur in any office of the Executive Council’s membership.
6. Evaluate periodically the work of the Association’s structure.
7. Maintain the Association’s purpose and policies as set forth in the SMA Mission Statement.
IV. Amendments
Recommendations for revision and/or amendments to this code shall be submitted for approval at the Annual General Meeting.

SPORT MARKETING ASSOCIATIION
SMA Operating Code for President
I. Name
The name of this office shall be President of the Sport Marketing Association (SMA).
II. General Duties
A. Primary Responsibilities:
1. Determine Vice Presidential, Secretary/Treasurer appointments and in consultation with the Executive Council Committee Chairs, and other organizational duties .
2. Plan and conduct all meetings of the Executive Council (in accordance with Article V of the By-Laws).
3. Coordinate the functions of the various members of the Executive Council.
4. Serve as spokesperson and liaison with related organizations.
5. Represent the Association officially at meetings, symposia and conferences.
- There are particular occasions when an SMA representative may be asked to serve as a figurehead or consultant on behalf of the organization. It is deemed appropriate that the President of SMA should serve as the representative. In the event that the President cannot fulfill this role, another member of the Executive Council, as determined by the Executive Council, shall serve as the representative. If the host organization/agency and/or the host institution of the SMA representative do not cover the travel costs, SMA will support the member to a maximum of $500 US.
6. Initiate promotion and public relations duties as required.
7. Be involved with special award presentations and other types of recognition.
8. Plan and conduct the Annual General Meeting (AGM)
9. Present constitutional changes at the AGM.
B. Secondary Responsibilities:
1. Determine appropriateness of outside requests for membership mailing list.
2. Receive the final report of the previous Conference from the Program Chairs (Vice-President for Academic Affairs and Vice President of Industry Affairs) and circulate to all Executive Council members.
3. Approve and distribute meeting minutes and action memos to Executive Council members after submission by the Secretary/Treasurer.4. On behalf of SMA, sign contracts with hotel/conference meeting facilities directors for conferences after contracts are approved by the Executive Council.
5. Advise all nominees for Executive Council offices of the election results prior to the conference, and inform the newly-elected officers of their responsibility to attend the Council changeover meeting.
6. Arrange to have the SMA Presidential gavel engraved with the name, institution and Presidential year of the incoming President, and award it to the incoming President at the AGM business meeting during the Conference.
7. On behalf of SMA, sign contracts with publishers of affiliated publications (e.g. SMQ) included in Association membership dues after such contracts are approved by the xecutive Council
8. Preside at the President’s Banquet.

SPORT MARKETING ASSOCIATION
SMA Operating Code for Vice-President of Academic Affairs
I. Name
The name of this office shall be Vice-President of Academic Affairs for the Sport Marketing Association (SMA).
II. General Duties
A. Primary Responsibilities:
1. In the absence of the President, preside over any business meetings of the association and perform the duties of the President.
2. Provide continuity and support for the Executive Council.
3. Serve as a voting member of the Executive Council.
4. Serve as Academic Program Chair for the annual conference. Specific duties are outlined in the SMA Conference Guidelines; all aspects of the conference must be consistent with the guidelines. Responsibilities include, but are not limited to:
a. Serve as the liaison between the Executive Council and the institution/individual responsible for the conduct of the academic programs at the annual onference.
b. Oversee decisions regarding program development and production of Academic Program proceedings (the Conference Chair is responsible for the publication of the Conference proceedings).
c. Manage the Call for Papers which includes:
1) Establishing a review committee,
2) Acknowledging receipt of abstract proposals,
3) Arranging for anonymous review of submitted abstracts,
4) Sending of confirmation letters to Conference presenters,
5) Sending appreciation letters to the Conference presenters (see Conference guidelines),) Contact appropriate publicity sources to announce the annual Conference,
7) Developing and administering a Conference evaluation form,
8) Presenting the results of the Conference evaluation to the Executive Council,
9) Preparing and presenting a preliminary report to the Executive Council, at the Changeover meeting at the end of the Conference, of the year’s activities and budget regarding the annual Conference; and forward a final Conference report to the new President, who will circulate the report to all Executive Council Members.
5. Oversee decisions regarding the production and distribution of a “conference papers” publication including assembling an editorial staff comprised of two (2) SMA members as well as soliciting and screening manuscript submissions.6. Serve as Chair of the Academic Advisory Board. In this capacity, the Vice President for Academic Affairs is responsible for establishing guidelines to ensure that the academic integrity of the organization is maintained.
7. Perform other duties as assigned.

SPORT MARKETING ASSOCIATION
SMA Operating Code for Vice President for Industry Affairs
I. Name
The name of this office shall be Vice President for Industry Affairs of the Sport Marketing Association (SMA).
II. General Duties
A. Primary Responsibilities:
1. Provide continuity and support for the Executive Council.
2. Serve as a voting member of the Executive Council.
3. Serve as Industry Program Chair for the annual conference. Specific duties are outlined in the SMA Conference Guidelines; all aspects of the conference must be consistent with the guidelines. Responsibilities include, but are not limited to:
a. Serve as the liaison between the Executive Council and the institution/individual responsible for the conduct of the annual conference on matters relating to presentations by members of the industry.
b. Oversee decisions regarding facilities, program development and production of proceedings (the Conference Chair is responsible for the publication of the Conference proceedings).
c. Scheduling sessions involving sport marketing industry representatives including:
- Assisting the Conference Chair with securing keynote speakers,
- Developing special sessions involving as well as on behalf of Industry Sport Marketing representatives ranging from topical seminars to workshops,
- Scheduling career development programs such as on-site interview sessions, professional development sessions, etc.,
4. Contacting appropriate publicity sources to announce the annual Conference,
5. Preparing and presenting a preliminary report to the Executive Council, at the Changeover meeting at the end of the Conference, of the year’s activities and budget regarding the annual Conference; and forwarding a final Conference report to the new President.
6. Serve as Chair of the Industry Advisory Board. In this capacity, the Vice President for Industry Affairs is responsible for initiatives fulfilling the Association mission and intended to establish links between industry and the Association. The office is also charged with developing, recruiting and implementing an annual meeting to identify expectations of industry and academic professional.

SMA Operating Code for Vice President for Student Affairs
I. Name
The name of this office shall be Vice President for Student Affairs of the Sport Marketing Association (SMA).
II. General Duties
A. Primary Responsibilities:
1. Provide continuity and support for the Executive Council.
2. Serve as a voting member of the Executive Council.
3. Serve as Student Program Chair for the annual conference. Specific duties are outlined in the SMA Conference Guidelines; all aspects of the conference must be consistent with the guidelines. Responsibilities include, but are not limited to:
a. Serve as the liaison between the Executive Council and the
institution/individual responsible for the conduct of the annual conference on matters relating to student presentations and Case Studies.
b. Oversee decisions regarding facilities, program development and production of proceedings (the Conference Chair is responsible for the publication of the Conference proceedings).
c. Scheduling sessions involving students including:
- SMA Student Chapter Case Study Competition, working with the Vice President of Industry Affairs in scheduling career development programs such as on-site interview sessions, professional development sessions, etc.,
2) Contacting appropriate publicity sources to announce the annual Conference,
3) Preparing and presenting a preliminary report to the Executive Council, at the Changeover meeting at the end of the Conference, of the year’s activities and budget regarding the annual Conference; and forwarding a final Conference report to the new President.
- Serve as Chair of the Student Advisory Board. In this capacity, the Vice President for Student Affairs is responsible for initiatives fulfilling the Association mission and intended to establish links between students, the sport marketing industry and the Association.
- Serve as an Association liaison with campus student chapters of the Association.

SMA Operating Code for Secretary/Treasurer
I. Name
The name of this office shall be Secretary/Treasurer of the Sport Marketing Association (SMA)
II. General Duties
A. Primary Responsibilities:
1. Attend all Executive Council meetings, special meetings, called meetings, and the Conference Annual General Meeting (AGM).
2. Maintain accurate records of all Associations meetings.
3. Prepare minutes and action memos for the President who will approve and distribute them to members of the Executive Council.
4. Update and circulate the Executive Council contact list.
5. Receive all by-laws and operating code changes.
6. Maintain the fiscal resources of the Association.
7. Invest funds as directed by the Executive Council.
8. Prepare an annual financial statement for the Association.
9. Present a report at all Executive Council meetings, special meetings, and the Annual General Meeting (AGM).
10. Supervise all expenditures.
11. Serve as the liaison for the SMA Executive Council on a continual basis with the SMA Business Office.
12. Transfer records to the incoming Secretary/Treasurer.
B. Secondary Responsibilities:
1. Facilitate international sport management concerns
2. Assist the President, as requested.
3. Serve as SMA archivist.

SMA Operating Code for Committee Chairs
I. Name
The name of these offices shall be Committee Chairs of the Sport Marketing Association (SMA). There shall be seven such positions on the Executive Council.

6. Information/Web Site Chair
II. General Duties
A. Primary Responsibilities:
1. Represent the membership of the Association on the Executive Council.
2. Attend all Executive Council meetings, special meetings, and the Annual General Meeting (AGM).
3. Orient incoming Committee Chairs.
B. Secondary Responsibilities (as assigned):
1. Conduct the round-table projects for the Annual Conference.
2. Assume assigned tasks to share in the special operation of the association.

SPORT MARKETING ASSOCIATION
SMA Operating Code for Business Office
I. Name:
The name shall be the Business Office of the Sport Marketing Association (SMA) and be housed at University of Memphis Bureau of Sport and Leisure Commerce or at a site recommended by the Executive Council.
II. General Duties
A. Primary Responsibilities:
1. Produce and distribute SMA Membership brochure (and membership card if used).
2. Produce and distribute annual membership renewal notices (in September).
3. Process the membership returns and deposit checks in the appropriate accounts.
4. Maintain a SMA mailbox and maintain a permanent address for SMA.
5. Maintain a current membership database and provide regular updates to the FIT Publishing.
6. Respond to membership questions and redirect other organizational inquiries to appropriate SMA officers.
7. Provide appropriate officers with mailing labels as required.
9. Pay bills through these accounts as appropriate, OR, work in cooperation with the Secretary/Treasurer to expedite their payment.
10. Cooperate with the Secretary/Treasurer and President in managing association mailings.
11. Order, distribute, and maintain a supply of SMA stationary for use by Executive members.
12. Respond to requests for membership lists following approval by the president or Executive Council.
13. Produce a membership directory (as required).
B. Secondary Responsibilities:
1. Establish a SMA electronic bulletin board and co-ordinate a SMA website on the World Wide Web that can provide instant 24-hour information to SMA members and non-members. For example, items such as meeting dates, conference dates and contacts, Exec./AGM agenda/minutes, etc. can be included. The service could be expanded to include job postings and other information as it developed.
2. Establish an “electronic mail forum” (using “LISTSERV”) that will allow SMA members to post E-mail questions or comments, which will then be instantaneously sent to all SMA members who elect to join the group.
